Thank you for registering for an ISPOR Event or Program. These Terms and Conditions (“Terms”) apply to You, your registration, and participation in the ISPOR Event/Program and are an agreement between International Society for Pharmacoeconomics and Outcomes Research ("ISPOR") and You. By registering for or by attending the Event/Program, you acknowledge and agree to these Terms, so please read them carefully, including the policies referred to as included in these Terms. If You do not agree to these Terms, please do not register for, attend, or participate in the Event/Program.

Registration

To register for the Event/Program, please complete the registration process with payment of the applicable registration fee. For all events and programs your registration is individual to You and cannot be shared. For in-person attendance we ask that your registration badge be worn and visible during the event.

This Event/Program is organized by ISPOR, which reserves the right, in its sole discretion, to limit or deny access to any entity or individual to the Event/Program or any of its individual components, or any future ISPOR Event/Program. Any and all costs, damages, or liabilities associated with your attendance (including without limitation any travel and/or accommodation expenses) or the denial or revocation of Your registration shall be borne solely by You and ISPOR will not have any liability for such costs.

ISPOR encourages all registrants to be fully vaccinated for COVID-19 before attending an in-person ISPOR conference. For more information on any in-person attendance protocols for a specific event, please visit the conference event website.

Registration confirmations for all Events/Programs are auto generated and sent to the email address provided during the registration process. If you did not receive your confirmation, please contact registration@ispor.org.

Payment Terms for ISPOR Events/Programs

Submission of a registration online, by phone or email, constitutes an official registration and intent to attend the Event.  Invoices are payable upon receipt, and full payment must be received prior to the Event start date to participate in the Event and for ISPOR Programs prior to access being granted to the Program content.  Please note that purchase orders and cash are not accepted as forms of payment.

  • Registration fees may be discounted for ISPOR Members. To qualify the registrant must be an active member of ISPOR at the time of registration. ISPOR will not issue refunds or credits due to the failure to redeem a discount coupon or discounted registration rates (including member registration rates) during the registration process.
  • Each party will be responsible for paying all applicable taxes and other governmental fees, charges, penalties, interest, and additions to such taxes that are imposed on that party with respect to the transactions and payments under these Terms. ISPOR may collect applicable taxes and/or duties from You (for example Value Added Taxes), unless valid substantiation of exemption from such taxes and/or duties is submitted.

Substitution and Cancellation Policy

A: For Live Events (in person or live virtual events)
If circumstances change and You can no longer attend the Event, please note the following substitution and cancellation terms will apply.  All cancellation and substitution requests should be made in writing and sent to  registration@ispor.org.

  • The Cancellation Date for the Event is 30 days prior to the event start date. All cancellation requests must be made in writing and emailed to registration@ispor.org before the Cancellation date.
  • There is up to a $100.00 cancellation fee for requests received by the Cancellation Date.   No refunds will be made for cancellations received after this date.
  • You may transfer your registration for the Event to a colleague at any time with ISPOR’s consent, but membership is non-transferable. Substitute registrants will be responsible for the non-member fee, if applicable, and must agree to and will be bound by these Terms.
  • Refunds will be processed within 30 business days of written cancellation request and issued via the original form of payment.
  • ISPOR is unable to refund fees due to travel carrier cancellations or other unforeseen incidents beyond the registrant's control. All attendees are encouraged to purchase travel insurance.
  • In the event of cancellation of the event by ISPOR, ISPOR will contact You with information about transference of fees to equivalent programs or availability of a refund. If we cancel the Event or your registration and you are in compliance with these Terms, we will issue you a refund of your Event registration fee in accordance with our refund policy if you opt to not transfer fees to an equivalent program.
  • ISPOR is not responsible for any damages, direct or indirect, resulting from any cancellation by ISPOR of the Event or if ISPOR decides to deny, limit, or cancel your Event registration.
  • If You or ISPOR cancel your registration for the Event or ISPOR cancels the Event, the Sections entitled “Registration,” “Payment Terms,” ”Substitution and Cancellation,”  “Intellectual Property,” “Event Program Disclaimer,” Compliance with Laws and Trade Compliance,” “Publicity Release and Recordings,”  “Assumption of Risk, Release and Waiver of Liability,” “Release and Waiver,” “Indemnification,” “Waiver,” “Severability,”  “Force Majeure,” “Assignment; No Third Party Beneficiaries,” “Modifications to these Terms,” “Choice of Law and Exclusive Venue and Jurisdiction,” and “Entire Agreement; English Language” will remain in full force and effect.

B: For online programs
For our online programs, due to the access provided to the content within the digital product, payments are non-refundable and non-transferable.

Accommodations

Event/Program Details  

ISPOR plans and promotes the Event/Program in good faith but reserves the right to change any and all aspects of the Event, in its sole discretion.  Changes may include, but not be limited to, the Event/Program name, themes, content, schedule, speakers, performers, hosts, moderators, location, date, and time. 

Intellectual Property
All intellectual property rights of any kind in and to the Event/Program, the Event/Program content and all materials distributed at or in connection with the Event are owned by ISPOR and/or the Event sponsors or speakers presenting at the Event/or in the Program. For the avoidance of doubt, nothing in these Terms shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by ISPOR or grant to You any right or license to any other intellectual property rights of ISPOR, all of which shall always remain the exclusive property of ISPOR.

Program Disclaimer
Please be advised that while the Event/Program is designed to provide relevant information and materials regarding the subject matter covered, the views, opinions, and recommendations expressed during the Event/Program are those of the authors and speakers, not of ISPOR.  ISPOR does not guarantee the accuracy, reliability, correctness, timeliness, or completeness of the information or materials disseminated during the Event/Program.  If you rely on such information or materials, including any views, opinions, or recommendations of authors and speakers, you do so solely at Your own risk.

YOUR PARTICIPATION IN THE EVENT/PROGRAM, AND ALL SERVICES AND PRODUCTS PROVIDED IN CONNECTION WITH THE EVENT/PROGRAM, ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES OR REPRESENTATIONS TO PARTICIPANTS ABOUT THE SUITABILITY, CONDITION OR SAFETY OF THE EVENT/PROGRAM OR DIGITAL TRANSMISSION OF THE EVENTS/PROGRAM, YOUR ABILITY TO ACCESS OR USE ISPOR CONTENT OR SERVICES, ANY EQUIPMENT PROVIDED BY ISPOR OR ITS VENDORS, ISPOR SERVICES OR PRODUCTS SUPPLIED AS PART OF THE EVENTS/PROGRAMS OR THAT THE EVENTS/PROGRAMS, INCLUDING ANY STREAMING, WILL OPERATE WITHOUT INTERRUPTION OR BE ERROR FREE. ISPOR DISCLAIMS TO THE MAXIMUM EXTENT PERMITTED BY LAW ANY AND ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, INCLUDING WARRANTIES AND REPRESENTATIOSN RELATING TO PERFORMANCE, NONPERFORMANCE, OR OTHER ACTS OR OMISSIONS BY ISPOR OR ANY THIRD PARTY.

Event/Program Participation  

ISPOR is dedicated to core organizational values that value multiple perspectives and embrace diversity in all our endeavors.  To ensure the best possible experience and to provide a safe, inclusive, and welcoming experience for all.  You agree to observe and abide by these Terms, the Event/Program Code of Conduct  and by such reasonable additional terms, conditions and rules made by ISPOR from time to time for the efficient and safe operation of the Event/Program all of which constitute a part of these Terms.

Reporting Unacceptable Behavior:

 If You believe you see, overhear, or experience a violation of the Event/Program Code of Conduct during an ISPOR Event/Program and would like to report a violation, please email us at registration@ispor.org .  If You or someone else is in immediate danger, or if You see something suspicious or would like to report a security issue or emergency, at a live event please contact venue security or local law enforcement.

Compliance with Laws and Trade Compliance

You agree to comply with all federal, state, local, and foreign laws, rules, and regulations applicable to these Terms or Your activities pursuant to these Terms, including but not limited to laws that prohibit commercial bribery, money laundering, or anti-corruption, or economic sanctions laws. Further, You represent and warrant that you are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties, or owned or controlled by such a party, including but not limited to the lists maintained by the United Nations Security Council, the U.S. government (e.g., the U.S. Department of Treasury’s Specially Designated Nationals list and Foreign Sanctions Evaders list and the U.S. Department of Commerce’s Entity List), the European Union or its member states, or other applicable government authority.

Publicity Release and Recordings

Portions of the Event/Program may be photographed, videotaped, or otherwise recorded. You grant us and our contractors and any person or entity acting on ISPOR’s behalf the right to record, film, photograph and capture your image, likeness, and voice (the “Recordings”) in any media during the Event. You grant to ISPOR and its employees, agents, representatives, licensees, successors, and assigns an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, reproduce, modify, distribute, and translate, and to sublicense to third parties, for any purpose, without compensation or credit to You, all or any part of the Recordings.  We may edit the Recordings, use them alone or together with other information, and allow others to use and disseminate them. To the maximum extent permitted by law, you waive any rights you may have in the Recordings.  

Requirements for Online Events/Programs

You understand and agree that virtual access to Events/Programs and use of any related services provided by ISPOR or its vendors is dependent on Your internet connection, hardware, and certain software (including third party software), and agreement to additional terms and conditions required by ISPOR or its vendors.

Privacy

ISPOR will collect and process the personal information you provide in the registration.   We will also provide you information on how to manage the visibility of your contact information, if applicable.

By registering or attending an exhibitor or sponsor session You are providing your consent and you agree that your Contact Information provided to ISPOR may be shared with respective exhibitors or sponsors; additionally, you agreed to receive communications from such exhibitor or sponsors, subject to their communication terms and privacy policies.  Attendance at such sessions/activities is optional. 

Your privacy rights and choices are important to us. For additional information on how your personal information will be collected, used, shared, and processed, please see our Privacy Policy on our website, as may be updated from time to time. ASSUMPTION OF RISK, RELEASE, AND WAIVER OF LIABILITY

A: For In-Person Events
COVID-19 Safety Information
I understand and acknowledge that there is an inherent risk of exposure to COVID-19 and other infectious illnesses exists in any place where people are present and that the risk of becoming exposed to or infected by COVID-19 at the Event may result from the actions, omissions, or negligence of others who may attend the event or their families, colleagues, or others with whom they may have contact.  I also understand that ISPOR cannot eliminate my risk of contracting COVID-19 or other infectious illnesses in connection with my participation in an in-person Event.

Release and Waiver
To the maximum extent permitted by law, You (for yourself, your heirs, dependents, personal representatives, assigns, and anyone else who might make a claim on your behalf or as a result of your death or injury)  hereby forever release, waive, discharge and covenant not to sue ISPOR and its past, current and future officers, directors, employees, members, volunteers, contractors, representatives, affiliates, agents, successors and assigns (collectively, “Released Parties”)  from any and all damages, injuries, losses, liability, claims, causes of action, litigation or demands, including but not limited to those for personal injury, sickness or death, including, without limitation, relating to exposure, infection, and/or spread of COVID-19) , as well as property damages and expenses, of any nature whatsoever which may be incurred, directly or indirectly, now or in the future, in connection with the Event or any travel related thereto, except for such personal injury or death that is caused by the Released Parties’ willful misconduct or sole negligence, or the Recordings. I promise not to sue ISPOR for any of the foregoing.
Assumption of Risk
You are fully aware that attendance and participation in the Event (including any related travel) carries with it certain inherent risks that cannot be eliminated regardless of the care taken to avoid such injuries (“Inherent Risks”). Inherent Risks may range from (1) minor injuries such as scratches, bruises, and sprains; (2) major injuries such as joint or back injuries, broken bones, heart attacks, and concussions; (3) catastrophic injuries including paralysis and death. You understand the nature of the Event, and to the maximum extent permitted by law, you agree to voluntarily accept and solely assume all risk of loss, personal injury, sickness, death, damage, and expense arising from such Inherent Risks.
I have also read the safety information above concerning COVID-19. I hereby voluntarily assume all known and unknown risks related to exposure to COVID-19. I agree that the Event is of such value to me that I accept the risk of being exposed to, contracting, and/or spreading COVID-19 in order to attend the Event in person.
Agreement to Take Precautions Related to COVID-19 and other infectious diseases.
In addition to all rules and regulations relating to my attendance at the Event, I agree to comply with all COVID-19-related procedures, whether written or oral, that may be implemented by ISPOR, including, but not limited to, mask-wearing and social distancing requirements, regardless of whether possibly I have had or have previously been diagnosed with COVID-19, and regardless of whether I have been vaccinated against COVID-19, in order to protect as much as possible the health and safety of all Event attendees. I understand and acknowledge that all such policies are mandatory and my adherence to them is a condition of my attendance and participation at the Event.
B: For All ISPOR Events/Programs
Indemnification
You agree to indemnify, defend, and hold ISPOR and its officers, directors, employees, volunteers, contractors, suppliers, and representatives harmless from and against any and all claims, demands and all other liabilities, including, without limitation, costs, and attorneys’ fees, made by any third party arising out of or in connection with Your participation in the Event or any violation by You of these Terms.
If ISPOR is required to respond to any claim, demand or proceeding (“Demand”) for which You are required to indemnify or defend under this section, you will respond and defend against such Demand upon the receipt of notice from ISPOR. ISPOR agrees to (i) promptly notify You in writing of any indemnifiable Demand; and (ii) give You the opportunity to (y) defend or negotiate a settlement of any such Demand at Your expense, and (z) cooperate reasonably with You, at Your expense, in defending or settling such Demand. However, at ISPOR’s option or, at a minimum, in the event You fail to defend ISPOR when required under this section, you will reimburse ISPOR for all costs and expenses, including attorneys’ fees, incurred by ISPOR in ISPOR’s defense or settlement of a Demand. In such an event, ISPOR may defend or represent itself with counsel of its choosing. Notwithstanding anything contained herein to the contrary, you will not consent to the entry of a judgment or enter a settlement which either (1) does not include an unconditional release of ISPOR by the claimant for all liabilities with respect to the Demand, or (2) otherwise adversely affects the rights of ISPOR, without ISPOR’s consent, which shall not be unreasonably withheld.
LIMTATION OF LIABILITY
IN NO EVENT SHALL ISPOR BE LIABLE TO YOU, OR ANY OTHER PERSON OR ENTITY FOR ANY PERSONAL INJURY OR DAMAGES TO PROPERTY, DATA LOSS, DAMAGES FOR LOSS OF BUSINESS PROFITS OR OTHER PECUNIARY LOSS, INCLUDING ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR SIMILAR DAMAGES, ARISING OUT OF YOUR PARTICIPATION IN THE EVENT/PROGRAM, OR ANY RELIANCE ON MATERIALS OR INFORMATION PROVIDED AT OR ABOUT THE EVENT/PROGRAM (INCLUDING BY SPEAKERS OR PRESENTERS), EVEN IF ISPOR OR YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ISPOR’s liability in respect of claims under these Terms and Conditions shall not in any case exceed the total registration fees paid by or anticipated from You. THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW

Waiver

The failure by us to enforce any provision of these Terms will not constitute a present or future waiver of such provision nor limit our right to enforce such provision at a later time. All waivers by us must be in writing to be effective.

Severability

If any portion of these Terms is held to be invalid or unenforceable, the remaining portions of these Terms will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to effect and intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from these Terms, but the rest will remain in full force and effect.

Force Majeure

In the event that either Party is prevented from performing, or is unable to perform, any of its obligations under these Terms (except for any payment obligations) due to any cause beyond its reasonable control, the affected party shall use commercially reasonable efforts to give written notice thereof to the other party and its performance shall be extended for the period of delay or inability to perform due to such occurrence. ISPOR will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond its reasonable control.

Assignment; No Third-Party Beneficiaries

You will not assign or otherwise transfer these Terms or any of your rights and obligations under these Terms, without our prior written consent. Any assignment or transfer in violation of this section will be void. These Terms will be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns. These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

Choice of Law and Exclusive Venue and Jurisdiction

These Terms are governed by the laws of the State of New Jersey, United States of America, without regard to its principles of conflicts of laws. The United Nations Convention for the International Sale of Goods does not apply to these Terms. You and ISPOR hereby irrevocably submit to the exclusive jurisdiction of the United States federal and state courts located in the State of New Jersey. Each party hereby waives its right to a trial by jury. Each party hereby irrevocably consents to personal jurisdiction and venue in such courts and waives any defense of inconvenient forum. You hereby waive any other jurisdiction or venue to which You might be entitled by virtue of domicile, habitual residence, location of the Event or otherwise.

Modifications to these Terms

ISPOR may modify these Terms at any time by posting a revised version on our website. The modified terms will become effective upon posting. By attending the Event/Program after the effective date of any modifications to these Terms, you agree to be bound by the modified terms. Please check ISPOR’s website regularly for modifications to these Terms. ISPOR last modified these Terms on the date listed at the end of these Terms. Nothing contained in any purchase order, terms and conditions, or invoice provided by you will in any way modify or add any additional terms and conditions to these Terms.
